DishPair End-User License Agreement (EULA)

This Licensed Application End-User License Agreement ("EULA") is a legal agreement between DishPair, Inc. ("DishPair," "we," "us," or "our") and you, the end-user of the DishPair mobile application and related software (the "App"). By installing, accessing, or using the App, you agree to be bound by this EULA, our Privacy Policy, and any other policies or terms referenced herein. If you do not agree, do not install or use the App.

This EULA is between you and DishPair only, not Apple. Apple is not responsible for the App or its content. Certain provisions are included to comply with Apple's App Store requirements.

1. Other Terms; Eligibility; Your Account

Other Terms

This EULA governs individual creators and general users of the DishPair App. If you are a restaurant, brand, or business user, your use of DishPair is governed by separate business terms or agreements, not this EULA.

Privacy

Your use of the App is subject to DishPair's Privacy Policy, which describes how we collect, use, and share information, including attribution, analytics, and third-party account data.

Eligibility

You must be at least 18 years old and capable of forming a binding contract. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

No Employment or Agency

Nothing in this EULA creates an employment, partnership, agency, or joint-venture relationship between you and DishPair, or between you and any restaurant or brand. You participate in collaborations as an independent contractor.

Third-Party Accounts

Certain features allow you to connect third-party services (such as Instagram or TikTok). By connecting such accounts, you authorize DishPair to access and use information from those services in accordance with your settings, applicable platform terms, and our Privacy Policy.

2. Limited License; Scope of Use

Subject to this EULA, DishPair grants you a limited, non-exclusive, non-transferable, revocable license to install and use the App on any Apple-branded device that you own or control, as permitted by Apple's Media Services Usage Rules.

You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or make the App available over a network where it could be used by multiple devices simultaneously.

3. Platform Functionality; No Guarantee of Results

DishPair provides a technology platform that enables creators, restaurants, and other participants to engage in creator-driven campaigns, collaborations, logistics coordination, compliance verification, and performance measurement. DishPair is not a restaurant, merchant, employer, agent, or broker.

DishPair provides attribution, analytics, and measurement tools for informational and commercial decision-making purposes only. DishPair does not guarantee the accuracy, completeness, or exclusivity of attribution or measurement results, and such results may be influenced by factors outside of DishPair's control, including consumer behavior, third-party platforms, in-venue processes, or point-of-sale systems.

Restaurants and brands independently determine which creators to engage. DishPair does not guarantee selection, compensation, traffic, conversions, or business outcomes.

4. Collaborations, Offers, Check-In, and Deliverables

Collaboration Terms

Each collaboration or campaign may display specific terms within the App, which form part of this EULA for that collaboration. These may include:

  • Description of the collaboration or campaign
  • Participation, attendance, or content requirements
  • Deadlines and submission instructions
  • Compensation terms (if any), including in-kind or cash compensation
  • Verification, attribution, and compliance requirements

Mandatory Check-In, Verification, and Attribution

Participation in collaborations requires check-in, verification, or interaction through DishPair's in-App attribution or verification mechanisms, which may include codes, scans, confirmations, or other methods designated by DishPair.

Check-in and verification are required to:

  • Confirm participation or attendance
  • Enable attribution and compliance tracking
  • Determine eligibility for any associated benefits or compensation

Failure to complete required check-in or verification steps may result in loss of eligibility for compensation, reduced access to future opportunities, suspension, or termination.

Content Deliverables

If a collaboration requires content creation, you agree to create and publish content consistent with the collaboration terms, applicable platform rules, and legal disclosure requirements (including FTC endorsement guidelines).

You are responsible for submitting required links, proof, or confirmations within the timeframes specified in the App. Failure to complete required deliverables may result in loss of compensation, reduced eligibility for future opportunities, suspension, or termination.

5. Compensation; Taxes

Any compensation offered through a collaboration is provided by the restaurant or brand, not DishPair, unless expressly stated otherwise.

You acknowledge that:

  • In-kind compensation (such as food or products) has no cash value
  • Cash compensation, if offered, may be subject to verification, review, delay, or withholding
  • DishPair may withhold, delay, or reverse compensation in cases of non-compliance, fraud, dispute, or failure to satisfy collaboration requirements

You are solely responsible for reporting and paying any applicable taxes arising from compensation received through the App.

6. Rights in Content

Ownership

You retain ownership of the content you create.

License to DishPair and Partners

By participating in collaborations, you grant DishPair and participating partners a limited, non-exclusive, worldwide, royalty-free license to host, display, distribute, and share submitted content solely for purposes related to platform operation, collaboration fulfillment, compliance verification, analytics, reporting, and organic promotion, as permitted by collaboration terms.

Additional usage rights (such as paid advertising, whitelisting, or extended usage) apply only if expressly agreed to in writing or in-App.

You represent and warrant that your content is original or properly licensed and does not infringe any third-party rights.

7. Acceptable Use & Platform Integrity

You agree not to:

  • Misrepresent your identity, audience, or metrics
  • Use fake followers, fake engagement, or deceptive practices
  • Circumvent DishPair to avoid attribution, verification, or platform processes
  • Interfere with App security or functionality
  • Violate applicable laws, advertising rules, or platform policies

DishPair may take corrective action, including reduced eligibility, suspension, termination, or denial of compensation.

8. Support & Product Claims

DishPair, not Apple, is responsible for providing maintenance and support for the App. Apple has no obligation to provide support services.

DishPair, not Apple, is responsible for addressing claims relating to the App, including product liability, regulatory compliance, or privacy claims.

9. Disclaimer of Warranties

To the maximum extent permitted by law, the App is provided "as is" and "as available," without warranties of any kind, express or implied.

If the App fails to conform to any applicable warranty, your sole remedy is a refund of the App purchase price (if any) from Apple. Apple has no further warranty obligations.

10. Intellectual Property Claims

DishPair, not Apple, is responsible for addressing any third-party claims that the App infringes intellectual-property rights.

11. Legal Compliance; Export Controls

You represent that you are not located in a country subject to U.S. embargoes and are not listed on U.S. government restricted party lists. You agree to comply with applicable export laws.

12. Third-Party Terms

You must comply with applicable third-party terms, including those of Apple, social media platforms, payment providers, and any restaurant or venue rules.

13. Apple as Third-Party Beneficiary

You acknowledge that Apple and its subsidiaries are third-party beneficiaries of this EULA and may enforce it against you.

14. Health, Safety, and Venue Responsibility

DishPair does not control restaurants or venues. Food, beverages, and services are provided by venues, not DishPair. You are responsible for your health, safety, and compliance with venue rules, including allergens and on-site policies.

15. Modification of Services; Force Majeure

DishPair reserves the right to modify, suspend, or discontinue any part of the App or its features at any time, with or without notice.

DishPair will not be liable for delays or failures caused by events beyond its reasonable control, including acts of God, labor disputes, internet outages, third-party platform failures, point-of-sale disruptions, government actions, or venue closures.

16. Suspension; Termination

DishPair may suspend or terminate your access at any time for violation of this EULA, misuse of the platform, fraud, or harm to DishPair, users, or partners. Provisions that by their nature should survive termination will survive.

17. Limitation of Liability

To the fullest extent permitted by law, DishPair will not be liable for indirect, incidental, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data.

DishPair's aggregate liability will not exceed the greater of (a) USD $100 or (b) the total amount paid to you through the App in the three (3) months preceding the event giving rise to the claim.

18. Indemnification

You agree to indemnify, defend, and hold harmless DishPair and its affiliates from any claims, damages, liabilities, losses, or expenses arising out of your content, conduct, violation of this EULA, or violation of applicable laws or third-party rights.

19. Changes to the App or EULA

DishPair may update the App or this EULA from time to time. Continued use of the App after changes become effective constitutes acceptance of the updated EULA.

20. Governing Law; Venue

This EULA is governed by the laws of the State of California, without regard to conflict-of-law principles. Any disputes will be brought exclusively in the state or federal courts located in California.

22. General

This EULA constitutes the entire agreement between you and DishPair regarding use of the App and supersedes prior understandings. If any provision is unenforceable, the remainder will remain in effect. Headings are for convenience only.

Acceptance

By tapping "I Agree," installing, or using the App, you acknowledge that you have read, understood, and agree to be bound by this EULA.
